Testnet Participant Terms of Use

PLEASE READ THESE TESTNET TERMS CAREFULLY BEFORE USING OR ACCESSING TESTNET, AS THEY CONSTITUTE A WRITTEN AGREEMENT BETWEEN YOU AND US AND THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

THESE TESTNET TERMS REQUIRE THAT YOU ARBITRATE ANY DISPUTES YOU MAY HAVE WITH US AND YOU WAIVE THE ABILITY TO BRING CLAIMS AGAINST US IN A CLASS ACTION FORMAT.

These Testnet Participant Terms of Use (these "Testnet Terms") are entered into by you and Noise Labs, Inc. ("Noise," "we," or "our") and govern your use of the Noise testnet software, technologies, tools, and other services related to the Noise Protocol (collectively, "Testnet").

These Testnet Terms supplement, and form part of Noise's Terms of Use (the "Terms of Use") and Privacy Policy (collectively with the Testnet Terms, the "Terms"). All capitalized terms not defined herein have the meanings given to them in the Terms of Use.

By accessing, using and participating in Testnet, you are agreeing to be bound by the Terms. If you do not agree to the Terms, do not use Testnet or the Service and, when presented with the option to "agree" or "disagree" to the Terms, click "disagree."

1. Eligibility Criteria

  1. You may use Testnet only if you are not prohibited from participating in the Service under the Terms of Use, including applicable U.S. and non-U.S. export control and trade sanctions laws, as set forth by the U.S. Department of the Treasury Office of Foreign Assets Control.

  2. We may, at our discretion, introduce new or change existing eligibility criteria or conditions we deem appropriate, and communicate such changes to you by posting notice on the Interface. We make no guarantees that Testnet features and/or eligibility criteria accurately and completely reflect the features and eligibility criteria that will be required in subsequent phases of Testnet or the production version ("Mainnet") of the Noise Protocol. Testnet may operate in certain phases, and your participation in any one phase of Testnet does not guarantee that you will be selected for participation in any other phases of Testnet or Mainnet.

  3. We reserve the right to block any participant's access to Testnet. We further reserve the right to request information about, review and investigate all Testnet activities, and to disqualify participants if we believe a participant has engaged in any activity that is abusive, fraudulent, in bad faith, or otherwise fails to meet Testnet standards and requirements.

2. Rewards

We may choose, in our discretion, to provide rewards to eligible Testnet participants for completing certain activities, including participating in market activity, performing other critical services related to the Noise Protocol, and meeting certain performance criteria or other requirements. Additional details may be provided to you from time to time via the Service. Notwithstanding any other information we may provide regarding Testnet (including on the Interface, blog posts or through other communications (e.g., forums, Telegram, Discord, or other channels)), we may change or modify the amounts or types of rewards and/or discontinue, or terminate, temporarily or permanently, all or any part of the rewards program at any time and without notice, and we may remove or reallocate any rewards earned by any participant or elect not to provide any rewards to any participant. You agree that any rewards or incentives received will be for your services in testing Testnet. You are responsible for the payment and filing of all taxes associated with your receipt of any potential rewards. You agree to provide us with any additional information and complete any required tax or other forms relating to your receipt of such rewards.

2A. Purchase of Testnet Credits

Noise may offer you the ability to purchase testnet credits ("Testnet Credits") through the Service using a third-party payment provider (e.g., Whop for card or bank payment, or Unifold for cryptocurrency). By purchasing Testnet Credits, you acknowledge and agree to the following:

  1. Non-Redeemable; No Monetary Value. Testnet Credits are non-redeemable, non-transferable digital units intended solely for use within Testnet. Testnet Credits have no monetary value and cannot be exchanged, converted, or redeemed for cash, cryptocurrency, mainnet tokens, or any other form of value. Testnet Credits are distinct from any rewards described in Section 2 above.

  2. No Refunds. All Testnet Credit purchases are final and non-refundable except where required by applicable law. You will not be entitled to a refund for any unused Testnet Credits, including in the event of Testnet termination.

  3. Payment Processing. Payments for Testnet Credits are processed by our third-party payment providers. By making a purchase, you agree to the payment provider's terms of service and privacy policy (e.g., Whop’s terms or your crypto checkout provider as presented at purchase). Noise does not store your full payment credentials.

  4. Taxes. You are solely responsible for the payment and reporting of any taxes, duties, or other governmental assessments associated with your purchase of Testnet Credits.

  5. Pricing and Availability. Noise reserves the right to change the pricing of Testnet Credits, impose per-user purchase limits, or discontinue the availability of Testnet Credits at any time and without prior notice.

  6. Expiration and Forfeiture. Testnet Credits are subject to the Term provisions set forth in Section 3 below. Upon expiration or termination of Testnet, any remaining Testnet Credits will be forfeited and will not be refunded.

3. Term

Testnet will commence on the date we prescribe and continue until terminated at our discretion. We may change, discontinue, or delete, temporarily or permanently, all or any part of Testnet, at any time and without notice at our discretion, including, without limitation, the modification of the presence, amounts, or any other conditions applicable to Testnet, without any liability to you or other Testnet users. In the event of the expiration of Testnet, you acknowledge and agree that your access to and use of your Testnet will be removed, and any accrued Testnet tokens will be deleted from the Testnet system. No Testnet tokens will be converted into any future rewards offered by Noise. Purchased Testnet Credits are similarly non-convertible and will not be refunded upon Testnet expiration or termination.

4. Conditions and Disclaimers

Noise disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability, or availability of information or material accessed via Testnet. Noise disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material. Noise disclaims any responsibility for any harm resulting from accessing any information or material on any blockchain through Testnet. YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF TESTNET AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS IN THE DOWNLOAD OF SUCH MATERIAL OR DATA. TESTNET AND ITS RELATED SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We make no warranty that Testnet will meet your requirements, will function as intended, will be free from bugs or errors, or be available on an uninterrupted, secure, or error free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any information or content on Testnet. We may modify or terminate Testnet at any time, with or without notice to you.

5. Limitation of Liability

IN ADDITION TO THE LIMITATION OF LIABILITY SET OUT IN THE TERMS OF USE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER NOISE NOR ITS SERVICE PROVIDERS INVOLVED IN GENERATING, PRODUCING, OR DELIVERING TESTNET WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TESTNET TERMS OR FROM THE USE OF OR INABILITY TO USE TESTNET, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NOISE OR ITS SERVICE PROVIDERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NOISE'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TESTNET TERMS OR FROM THE USE OF OR INABILITY TO USE TESTNET EXCEED THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU TO NOISE FOR USE OF TESTNET (INCLUDING ANY AMOUNTS PAID FOR TESTNET CREDITS) OR ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO NOISE, AS APPLICABLE. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NOISE AND YOU.

6. Dispute Resolution

Certain portions of this Section 6 are deemed to be a "written agreement to arbitrate" pursuant to the Federal Arbitration Act. You and Noise agree that we intend that this Section 6 satisfies the "writing" requirement of the Federal Arbitration Act.

7. Reservation of Rights

Noise and its licensors exclusively own all right, title, and interest in and to Testnet and its related services, including all associated intellectual property rights. You acknowledge that Testnet and its related services are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in, or accompanying Testnet.

8. Entire Agreement

These Testnet Terms, along with the Terms of Use, constitute the entire and exclusive understanding and agreement between Noise and you regarding Testnet, and supersede and replace all prior oral or written understandings or agreements between Noise and you regarding Testnet. If any provision of these Testnet Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Testnet Terms will remain in full force and effect.
